This Agreement contains the complete terms and conditions that apply to an individual's or entity's use of, and entry into, Interactive Systems Inc's Reels of Fortune "Promotion" which is accessible on the World Wide Web by visiting a participating Interactive Systems Inc website and then clicking on the Reels of Fortune promotion link.

As used in this Agreement, "we" "us" and "our" means or refers to Interactive Systems Inc, "our affiliates" refers to Interactive Systems Inc's affiliated companies, participating sponsors, information providers, content providers, software providers, subsidiaries, advertisers, advertising agencies, promotional and marketing agencies, prize suppliers/underwriters, and any other companies involved with or otherwise providing services related to this Promotion, and "you" and "your" refers to the Contestant.

"Site" means a World Wide Web site and refers to the Interactive Systems Inc websites, located among other places at the URL http://www.racebook.com.

1. NO PURCHASE NECESSARY TO PLAY OR WIN. VOID WHERE PROHIBITED BY LAW, RULE, REGULATION OR ORDINANCE.

2. WHO IS ELIGIBLE. The Promotion is open to anyone who is at least eighteen (18) years of age on entry and is a legal resident of a jurisdiction where this Promotion, in its present form, is legal under the local laws.

Notwithstanding the statement above, residents and/or citizens of Afghanistan, Algeria, Belarus, Canada, Croatia, Egypt, Estonia, Hong Kong, Indonesia, Latvia, Lithuania, Malaysia, Netherlands, Nigeria, Pakistan, Philippines, Romania, Russia, Slovenia, Taiwan, Thailand, Vietnam and Yugoslavia shall be ineligible to participate or win in the Promotion.

Employees of ours and our affiliates together with their immediate family and household members shall also be ineligible to participate or win in the Promotion.

We will only accept one entry per person per day. Any one person may only use one email address. We will only accept two entries per residential address.

If you win any prize, you are no longer eligible to participate. If you are otherwise eligible to participate, you may do so only once per day.

3. SPONSOR. Interactive Systems Inc is the sole sponsor of the Reels of Fortune Promotion.

4. PROMOTIONAL PERIOD. The Promotion begins at 12:01 AM ET on June 18, 2005 and ends at 11:59 p.m. ET on November 18, 2009, or when 150,000 attempts have been registered, whichever comes first.

5. HOW TO PLAY AND WIN. Visit any one of our sites and click on the Reels of Fortune promotion link. Complete the online registration form. All fields must be entered accurately for your entry to be valid.

After completing the required registration, you will receive a Reels of Fortune Game Card. If you are eligible to play, you may play the Promotion by spinning the slot machine reels. If you line up exactly three (3) winning symbols as listed below and as shown on our Prize Description Page, you win the dollar amount stated below, subject to (i) the limits on prizes payable and (ii) other limitations described in these Terms and Conditions. No prize shall be awarded for revealing only one or two winning symbols.

6. PRIZES. A maximum of 150,000 online Reels of Fortune Game Cards will be distributed during the Promotion.

A maximum of one (1) Grand Prize (US $100,000) is available to be won. A maximum of thirty-seven (37) Two Hundred dollar (US $200) Prizes are available to be won. A maximum of seventy five (75) One Hundred dollar (US $100) Prizes are available to be won. A maximum of three hundred (300) Fifty dollar (US $50) Prizes are available to be won. In the event of winners at any level equal to or in excess of the maximum limits stated above, the Promotion will immediately terminate. In the event of multiple verified winners of the Grand Prize at the same time, a single Grand Prize will be divided equally among such winners. If no Contestant reveals three winning symbols, no Grand Prize, Two Hundred dollar Prize, One Hundred dollar Prize, or Fifty dollar Prize will be awarded.

If you win a Two Hundred dollar Prize, One Hundred dollar Prize or Fifty dollar Prize, that amount will be deposited into your betting account for use on our wagering services. You may not withdraw your prize until you place wagers totaling at least three times the amount of the prize.

UNCLAIMED PRIZES SHALL NOT BE AWARDED. NO SUBSTITUTION, TRANSFER OR ASSIGNMENT OF PRIZES SHALL BE ACCOMMODATED OR PERMITTED.

Odds of winning are as follows: Grand Prize 1:100,000,000; Two Hundred dollar Prize 1:4,000; One Hundred dollar Prize 1:2,000; Fifty dollar Prize 1:500.

7. DETERMINATION OF WINNERS. Awarding of prizes is subject to validation and eligibility verification. The data stored on the computer systems of our prize supplier/underwriter is the sole determinant of all symbols and prizes revealed, as well as all information provided by you as part of such attempt.

An entry shall be deemed submitted by the holder of the e-mail account. A potential winner may be required to provide us with proof that the potential winner is the authorized account holder of the electronic mail address associated with the potential winning entry.

8. NOTIFICATION OF WINNERS. Winners, if any, who correctly line up exactly three (3) winning symbols, shall be required to sign, notarize and return by express mail an Affidavit of Eligibility and Publicity/Liability Release within five (5) days of notification. This Affidavit must be complete and be attached to a copy of winner's drivers license, passport or national identity card and if the winner is a US resident the Affidavit must include the winner's social security or resident alien identification number. The information in winner's Affidavit must be correct and must mirror the information provided in winner's entry or winner is disqualified. If winner(s) cannot be contacted, is ineligible, fails to claim a prize or fails to return the completed and executed Affidavit/Release as required, or if the Prize Notification or prize is returned as undeliverable, the prize shall be forfeited.

9. E-MAIL INFORMATION. You shall receive an e-mail each time you play the Promotion. You shall also be subscribed to a monthly newsletter.

11. WINNERS LIST. At the conclusion of the Promotion, a winners list will be posted on our site for a minimum of thirty days.

12. TAX INFORMATION. All taxes, tax-related obligations and fees on prizes won or in any other way related to your participation in this Promotion are your sole responsibility. If your local law requires, you shall authorize us to deduct such taxes, if any, from the prizes to the extent required by law.

13. PUBLICATION. Should you win you hereby grant us, our affiliates and our affiliates' designee('s) and their affiliated companies the right to use your name, likeness, picture, portrait, hometown, voice, biographical information and written submissions and written or oral statements, for advertising and promotional purposes without additional compensation unless required by law.

14. LEGAL WARNING. If you are found tampering with or abusing any aspect of this Promotion, as solely determined by us, you will be disqualified. If disqualified for any of the above reasons, we reserve the right to terminate your eligibility to participate and win in this and our future Promotions. Under these circumstances we also reserve the right to terminate your eligibility to use our wagering services.

In the event any portion of this Promotion is compromised by virus, bugs, non-authorized human intervention or other causes beyond our reasonable control which, in our the sole opinion, corrupts, or impairs the administration, security, fairness or proper play of the Promotion, we reserve the right in our sole discretion to suspend or terminate this Promotion or any part thereof. Any attempt by any individual, whether or not a Contestant, to damage, destroy, tamper with or vandalize this website, or otherwise interfere with the operation of this Promotion, is a violation of criminal and civil law and we will diligently pursue all remedies in this regard against any offending individual or entity to the fullest extent permissible by law.

15. RELEASE. By entering, you agree to release and hold our affiliates and us harmless from any and all liability for any injuries, loss or damage of any kind arising from or in connection with your participation in this Promotion, or out of the acceptance, use, misuse or possession of prizes. By entering, you further agree that, in the event there is any conflict or other inconsistency between the Official Rules and Terms and Conditions and any advertisements, promotional or marketing materials, e-mails, or announcements relevant to this Promotion, these Official Rules and Terms and Conditions shall govern.

16. LIMITATION OF OUR LIABILITY. We reserve the right to discontinue the Promotion at any time, in which event, only entries received prior to the date of discontinuation shall be eligible to participate in the chance to win any prize.

Notwithstanding any implied or express terms of this Agreement, you agree that in the event that our computer hardware or software does not properly implement the rules of a game or does not properly implement the random number generator, or does not make proper account for the play that has occurred, we shall not be liable, and you shall forfeit any winnings made as a result of the computer or software error.

Furthermore we and our affiliates shall not be held responsible for any error, omission, interruption, deletion, defect, delay in operations or transmission, theft, destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, or inaccurate transmission of, or failure to receive entry information on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof or on account of any other human, mechanical or technical error.

We and our affiliates shall also not be responsible for any injury or damage to you or any other person's computer related to or resulting from playing or downloading any materials in the Promotion. All entries become our property and will not be returned.

We shall not be liable for any damages caused to you by the interception or misuse of any information transmitted over the Internet.

We shall not be liable for indirect, special, or consequential damages (or any loss of profits or data) arising in connection with this Agreement or our Promotion, even if we have been advised of the possibility of such damages.

We shall not be liable for any consequence alleged to have occurred due to force majeure. For purposes of this Agreement force majeure shall include, but shall not be limited to, failure of our central computer system or any part thereof, delays, losses, errors, or omissions resulting from failure of any telecommunications or any other data transmission system, any act of God, an outbreak of hostilities, riot, civil disturbance, acts of terrorism, acts of Government or authority (including refusal or revocation of any license or consent), fire, explosion, flood, theft, malicious damage, strike, lockout, industrial action of any kind or any other circumstance that was beyond our reasonable control.

17. DISCLAIMER. We make no express or implied warranties or representations with respect to this Promotion (including, without limitation, warranties of fitness, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we shall not be liable for the consequences of any interruptions or errors.

19. INDEPENDENT INVESTIGATION. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF ENTERING OUR PROMOTION AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

20. MISCELLANEOUS. You agree that our decisions are final and binding in all respects. The laws of Antigua and Barbuda shall govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the courts located in St. John's, Antigua, and you consent irrevocably to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement shall be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement shall not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

21. ENTIRE AGREEMENT. The parties agree that this Agreement constitute the complete and exclusive statement of the terms and conditions between you and us covering the performance hereof and cannot be altered, amended or modified except as stated herein.

By submitting your entry to the Interactive Systems Inc Reels of Fortune Promotion, you accept and agree to abide by all the terms and conditions of this Agreement.
